Terms of Service

These terms (the “Terms”) are an agreement between you and Raisonnai (“Raisonnai,” “we,” “us,” or “our”) governing your use of the Raisonnai platform at raisonn.ai, including the web application, the API, Raisonnai Connect, Studio Line, and any related software and services (together, the “Service”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Who can use Raisonnai
Access to the Service is currently by invitation only. You must be at least 18 years old and able to form a binding contract to use the Service. The number of invitations available to your account, if any, depends on how your account was invited and may be zero; we may change invitation availability at any time. The Service is not directed to children under 13, and we do not knowingly collect their personal information; if we learn that we have, we will delete it.
If you use the Service on behalf of an organization (such as an estate, foundation, gallery, or institution), you represent that you are authorized to bind that organization to these Terms, and “you” includes that organization. You may not transfer, sell, or share invitations except as the Service expressly permits, and you may not use the Service if we have previously suspended or removed your access.
2. Your account
You are responsible for the information you provide and for activity under your account. Keep your credentials secure and notify us promptly at security@raisonn.ai if you suspect unauthorized access. You are responsible for any device you use to generate or hold signing keys (see Section 5).
3. Your content and your data
You own your catalogue. Works, images, provenance, exhibition history, bibliography, notes, and the other records you add are yours. These Terms do not transfer ownership of your content to us.
License to operate the Service. You grant Raisonnai a limited, non-exclusive, revocable license to host, store, process, reproduce, and display your content solely to operate and provide the Service to you and to the parties you authorize — for example, to generate thumbnails, index your catalogue for search, compute verification data, render your public catalogue, generate and serve a Record of Art Identity (RAI), or fulfill a sharing link you create. Raisonnai Connect does not send catalogue content to an AI provider. The separate Studio Line service processes only text, photographs, and recordings you deliberately send to that channel, as described in Section 4 and our Privacy Policy. This license ends when you delete the content or close your account, except for content already shared or attested under a signed record, and except for backups and records we must retain as described in our Privacy Policy or by law.
You control sharing, and it is revocable. You decide what is public, what is shared, and with whom. Every sharing mechanism the Service provides is revocable by you, subject to the nature of each mechanism (for example, a record already issued to a third party at a point in time remains independently verifiable as of that time, while ongoing access can be withdrawn).
You are responsible for your content. You represent that you have the rights necessary to upload it and to make the claims you record, and that your content and your use of the Service do not infringe anyone’s rights or violate any law.
4. AI services and Studio Line
Raisonnai Connect. You may connect your own AI — such as Claude, ChatGPT, Gemini, or Copilot — to your catalogue through the Model Context Protocol (MCP). Your use of that AI is governed by your agreement with its provider. Raisonnai does not operate that AI. You are responsible for reviewing what it proposes before you rely on it and for every record you sign.
Studio Line text messaging. Studio Line is a separate, invite-only, operator-backed service. If you connect a mobile number in Settings and check the consent box, Raisonnai may send verification codes, focused questions, draft and review links, status notices, and reminders related to your catalogue work. Message frequency varies with your requests and account activity. Message and data rates may apply. Consent to receive Studio Line messages is not a condition of purchase.
Reply STOP to end Studio Line messages. Reply START to resume after opting out. Reply HELP for help, email support@raisonn.ai, or disconnect Studio Line in Settings. Carriers are not liable for delayed or undelivered messages.
Text, photographs, and audio recordings deliberately sent to Studio Line may be processed by Twilio for message delivery and by the paid Google Gemini API to prepare cited catalogue drafts and draft transcripts. Every catalogue change requires authenticated web review and approval. A RAI signature remains an iPhone signing action. Our Privacy Policy describes this processing and retention.
5. Signing, signing keys, and what a RAI means
You are the signer. When you sign a record, you — not Raisonnai — are making a first-person attestation about your own work. Raisonnai provides the cryptographic infrastructure that lets you sign and lets others confirm that a signature is cryptographically valid and identify which signing identity produced it. Raisonnai does not verify, certify, guarantee, or warrant the authenticity, attribution, provenance, condition, ownership, or value of any work.
What verification confirms. A RAI, and any verification of it, confirms which signing identity signed a record, when, and that the signature is cryptographically valid. It does not confirm that the underlying claims are true. A RAI may contain signed statements from more than one party; verification confirms each statement’s signer and validity independently, never the truth of any claim. A valid signature is a statement by the signer, not by Raisonnai.
Self-custody of keys. Your signing keys are generated and held on your own device. Raisonnai never holds your private signing keys, cannot sign on your behalf, and cannot restore a lost key. If you lose access to your signing device, Raisonnai provides a recovery process that re-establishes your ability to sign by issuing a new key on a new device — it does not recover or restore your old key. Some recovery options may depend on whether you have completed identity verification.
Endorsements and other parties. Galleries, scholars, institutions, and others may add their own signed statements (such as endorsements, sales, or exhibition records) under their own identities. Each such statement is the responsibility of the party who signed it, not of Raisonnai and not of you.
6. Delegated and authorized access
You may authorize third parties — such as a gallery, dealer, advisor, or institution — to access your catalogue or act on your behalf with the specific capabilities you grant. You are responsible for the access you grant and for choosing whom to trust. You may revoke any authorization at any time. Signing your identity attestation is never delegated and remains solely with you.
7. Acceptable use
You agree not to:
- sign, attribute, or misrepresent any work you do not have the right to sign, or make a false or misleading attestation;
- upload content that infringes intellectual property, privacy, or other rights;
- attempt to access another user’s account, catalogue, or data, or to defeat the Service’s tenant isolation, authentication, or rate limits;
- abuse, overload, reverse engineer, or interfere with the Service, the API, or the signing system, except to the extent applicable law permits;
- use the Service for fraud, money laundering, or any unlawful purpose; or
- misuse another party’s signed statements, or strip or falsify the identity attached to any record.
We may suspend or terminate access that violates these Terms or that we reasonably believe creates risk or harm.
8. Copyright complaints
Raisonnai hosts content that its users upload. If you believe content on the Service infringes your copyright, send a notice to our designated agent at copyright@raisonn.ai that includes: identification of the copyrighted work; identification of the material you believe infringes it and where it is located on the Service; your contact information; a statement that you have a good-faith belief the use is not authorized; a statement, under penalty of perjury, that the information is accurate and that you are the rights holder or authorized to act for them; and your signature. We will remove or disable material we determine to be infringing, and we will terminate, in appropriate cases, the accounts of repeat infringers. If you believe your content was removed in error, you may send a counter-notice to the same address.
9. Payments, identity verification, and sales
The Service is currently free. Raisonnai charges no subscription or usage fees today. If we introduce fees in the future, we will give you notice and an opportunity to decline before they apply to you. You are responsible for any costs charged by your own AI provider or other third-party services you choose to use.
Sales facilitated through Raisonnai. Where the Service facilitates a sale, the artist (or other selling party) is the merchant of record and the seller. Raisonnai is the integration layer, not the seller, and Raisonnai’s platform fee on such sales is zero. Payments are processed by Stripe through the seller’s own Stripe account; refunds, chargebacks, disputes, taxes, and regulatory compliance are the seller’s responsibility. Each transactional surface discloses the merchant of record. Facilitating a sale is not a representation by Raisonnai as to the authenticity, attribution, or provenance of the work sold; those remain the seller’s attestations alone.
Identity verification. Some features may require identity verification (for example, through Stripe Identity or an EU Digital Identity Wallet). Verification is not currently required to create an account during the invite-only period. Where you complete verification, the basis of that verification may be displayed on the public verification page so that third parties can weigh it. Identity verification confirms who you are; it does not confirm or guarantee the authenticity, attribution, or provenance of any work, and the signer remains solely responsible for the claims they sign.
10. Third-party services
The Service relies on and integrates with third parties — including your AI provider, Stripe, identity providers, Twilio for Studio Line message delivery, Google for Studio Line draft preparation, and any gallery or platform systems you connect. Your use of those services is governed by their terms. Connecting an optional third party is your decision and your responsibility.
11. Our intellectual property
The Service, including its software, design, schema, and the Raisonnai name and marks, belongs to Raisonnai and its licensors. These Terms grant you a limited, non-exclusive, non-transferable, revocable right to use the Service as intended. We grant you no other rights in our intellectual property, and you may not use our name or marks without permission. If you send us feedback or suggestions, you grant us a perpetual, royalty-free license to use them without obligation to you.
12. Privacy
Our Privacy Policy explains what we collect and how we use it, and is part of these Terms. Raisonnai Connect does not send catalogue files through its MCP messages. The separate Studio Line service processes only the text, photographs, and audio recordings deliberately sent to that channel, as described in Section 4 and the Privacy Policy.
13. Service status
The Service is in early, invite-only operation. It may change, be interrupted, or contain errors, and features may be added or removed. We do not provide a service-level guarantee while the Service is in early operation. We will use reasonable efforts to preserve your data, but you are responsible for keeping your own copies of anything important to you.
14. Disclaimers
The Service is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law. Without limiting the foregoing, Raisonnai does not warrant the authenticity, attribution, provenance, ownership, condition, value, completeness, or accuracy of any work, catalogue record, or RAI, and does not warrant that the Service will be uninterrupted, secure, or error-free.
Recipients of a RAI or of any verification result rely on the signer’s attestation, not on any representation by Raisonnai. Raisonnai makes no representation to any third party regarding any work or record, and these Terms create no third-party beneficiary rights.
15. Limitation of liability
To the fullest extent permitted by law, Raisonnai will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, goodwill, or business, arising out of or relating to the Service or these Terms, even if advised of the possibility. Raisonnai’s total liability for all claims relating to the Service will not exceed the greater of the amount you paid us for the Service in the twelve months before the claim or one hundred U.S. dollars (US $100). Some jurisdictions do not allow certain of these limitations, which may not apply to you.
16. Indemnification
You will indemnify and hold harmless Raisonnai from claims, losses, and expenses (including reasonable legal fees) arising out of your content, your use of the Service, your attestations, or your violation of these Terms or of any law or third-party right.
17. Suspension and termination
You may stop using the Service and close your account at any time. We may suspend or terminate your access if you violate these Terms, if required by law, or if your use creates risk to the Service or others. Before you close your account, you may export your catalogue data; on termination, the license you granted us ends as described in Section 3, and your data is handled as described in our Privacy Policy. Records already signed or shared at a point in time may remain independently verifiable as of that time. Sections that by their nature should survive termination — including those covering your content license, signing, our intellectual property, disclaimers, limitation of liability, and indemnification — will survive.
18. Changes to these Terms
We may update these Terms from time to time. If we make a material change, we will give you advance notice by email or through the Service before it takes effect. Your continued use of the Service after a change takes effect means you accept the updated Terms; where the law or the nature of a change requires it, we will ask for your affirmative agreement.
19. General provisions
Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and Raisonnai regarding the Service and supersede any prior or contemporaneous understandings.
Severability. If any provision of these Terms is held unenforceable, it will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in full force.
No waiver. Our failure to enforce any provision is not a waiver of our right to enforce it later.
Assignment. You may not assign these Terms without our consent. We may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets.
Force majeure. Raisonnai is not liable for any delay or failure to perform caused by events beyond its reasonable control, including failures of third-party infrastructure, networks, or service providers.
Notices. We give you notice by email to the address on your account or through the Service, effective when sent. You give us notice at legal@raisonn.ai.
Export and sanctions. You represent that you are not located in, or a national of, any country subject to U.S. embargo, are not on any U.S. government restricted-party or sanctions list, and will not use the Service in violation of export-control or sanctions laws.
20. Governing law and contact
These Terms are governed by the laws of the State of New York, United States, without regard to its conflict-of-laws rules, and the state and federal courts located in New York County, New York will have exclusive jurisdiction over any dispute, unless applicable law requires otherwise.
